These Terms and Conditions ("Terms") govern your access to and use of the Orvalon Digital platform, including our websites, web applications, mobile applications, APIs, services, features, and related software or products (collectively, the "Platform").
By creating an account, accessing, or using Orvalon Digital, you agree to be legally bound by these Terms and Conditions, as well as our Privacy Policy, which is incorporated herein by reference.
If you do not agree with these Terms or our Privacy Policy, you must not access or use the Platform.
1. About Orvalon Digital
Orvalon Digital is a talent infrastructure platform designed to connect Talent, Employers, Companies, and Experts within a structured professional ecosystem.
Depending on your role, Orvalon Digital may allow you to:
- Create and maintain a professional profile
- Discover and apply for jobs
- Post job opportunities
- Search for and evaluate Talent
- Request or conduct candidate screenings
- Schedule interviews
- Communicate with other users
- Complete assessments
- Access learning and training opportunities
- Participate in the Orvalon Digital community
- Receive or make payments through supported services
- Manage professional activities and applications
- Use other features made available by Orvalon Digital from time to time.
Orvalon Digital may introduce, modify, suspend, or discontinue features at any time.
2. Definitions
For the purposes of these Terms:
"Orvalon", "we", "us", or "our" means the Orvalon Digital platform, its parent entity, subsidiaries, and legal operators.
"Platform" means the websites, applications, backend systems, APIs, and services operated by Orvalon Digital.
"User", "you", or "your" means any individual, professional, enterprise, or entity accessing or using the Platform.
"Talent" means an individual using Orvalon Digital to showcase skills, complete assessments, build portfolios, or seek employment/contract opportunities.
"Employer" or "Company" means an individual, business entity, or recruitment partner using Orvalon Digital to recruit, evaluate, or hire Talent.
"Expert" means an approved professional who participates in candidate screening, evaluation, assessment, mentoring, or other expert activities on Orvalon Digital.
"Job" means an employment, freelance, contract, or internship opportunity listed on Orvalon Digital.
"Screening" means an evaluation or assessment of a candidate conducted by an Expert or through an Orvalon Digital-supported process.
"Content" means text, code, graphics, video, audio, documents, scorecard feedback, or materials uploaded or displayed on the Platform.
3. Eligibility
To access or use Orvalon Digital, you represent and warrant that:
- You are at least 18 years of age (or the legal age of majority in your jurisdiction).
- You have full legal capacity and authority to enter into a binding agreement.
- If acting on behalf of a company or legal entity, you have explicit authority to bind that entity to these Terms.
- Your account has not previously been terminated or banned by Orvalon Digital for contractual, legal, or security breaches.
4. Account Registration & Security
Accuracy: You must provide accurate, current, and complete registration data.
Account Integrity: You must maintain and promptly update your account details.
Credential Security: You are solely responsible for safeguarding your login credentials, multi-factor authentication details, and PINs. You are liable for all actions taken under your account.
Unauthorized Access: You must notify Orvalon Digital immediately if you suspect unauthorized account access.
Prohibited Account Actions: You shall not:
- Create an account using false information or stolen identities.
- Impersonate any individual or corporate entity.
- Maintain multiple active personal accounts to manipulate marketplace algorithms, screening pass rates, or community mechanics.
- Share, sell, or transfer your login credentials to third parties.
5. Talent Accounts & Portfolio Progression
Profile Accuracy: Talent profiles must reflect true experience, skills, education, and portfolio items. Falsifying experience or submitting plagiarized work will result in immediate account termination.
Talent Advancement Framework: Talent on Orvalon Digital progress through platform tiers (Beginner, Intermediate and Expert) based on standardized portfolio evaluations and performance benchmarks.
- Intermediate Tier: Achieved upon passing a formal portfolio evaluation evaluated against standardized domain requirements or a 4-star rating.
- Expert Tier: Achieved exclusively through earning a maximum 3-star rating on advanced portfolio reviews or live domain assessments.
No Employment Guarantee: Achieving Intermediate or Expert status or completing platform pathways does not guarantee job placement, interview invitations, or employment offers.
6. Employer and Company Accounts
Employers may use Orvalon Digital to:
- Create company profiles
- Post jobs
- Review applications
- Search for Talent
- Shortlist candidates
- Request screenings
- Schedule interviews
- Communicate with candidates
- Manage recruitment activities.
Recruitment Obligations: Employers agree to:
- Provide clear, lawful, and accurate job descriptions, compensation ranges, and working conditions.
- Refrain from requesting discriminatory, unlawful, or deceptive hiring criteria.
- Comply with all local and international labor, hiring, and privacy laws.
7. Expert Accounts, Obligations & Performance
Experts are talents approved by ratings to provide professional screening, evaluation, assessment, or related services.
7.1 Expert Obligations
Experts agree to:
- Conduct fair, objective, and unbiased evaluations.
- Maintain strict confidentiality regarding candidate information, interview recordings, and code submissions.
- Submit detailed, actionable screening scorecards within the mandated window of 24 hours.
- Disclose any immediate or potential conflicts of interest before commencing an evaluation.
7.2 Screening Attendance, Penalties & Disciplinary Framework
To maintain operational integrity and protect candidate and employer schedules, experts are subject to strict attendance and timeliness requirements.
Missed Screening Penalty (First Offense): If an Expert fails to attend a scheduled live screening session or fails to submit a portfolio review within the mandated SLA without providing at least 4 hours' prior written notice:
- An administrative penalty will be assessed.
- The Expert's public profile ranking score will be automatically demoted.
Repeat Offense & Removal (Final Action): If an Expert commits a second missed screening:
- The Expert's status will be immediately suspended pending administrative review.
- Upon confirmation, the user's Expert privileges will be permanently revoked, reducing the profile back to standard Talent status, and any active screening allocations will be reassigned.
8. Conflicts of Interest
Mandatory Disclosure: All users must immediately declare any personal, financial, or employment ties that could compromise objectivity.
Expert Recusal: An Expert must not evaluate any candidate:
- Who is a relative, personal acquaintance, or current/former direct colleague.
- Applying for a company where the Expert is currently employed or actively interviewing.
- An Expert who has applied for a job should not simultaneously participate in the screening or evaluation of candidates for that same opportunity where doing so creates a conflict of interest.
Platform Intervention: Orvalon Digital reserves the right to automatically reassign screenings, void scorecards, or suspend accounts where undisclosed conflicts of interest are detected.
9. Job Postings & Candidate Matching
A job posting should accurately describe:
- Role responsibilities
- Required qualifications
- Required skills
- Compensation where applicable
- Location or remote requirements
- Employment type
- Application requirements
- Other material conditions of the opportunity.
Employers retain full legal responsibility for all published job postings.
Orvalon Digital reserves the right to audit, flag, or remove job listings that involve fraudulent multi-level marketing, unpaid work trials violating labor standards, or illegal activities.
Candidate match scores and ranking algorithms are proprietary tools designed to assist search workflows and do not constitute an endorsement or warranty of fit.
10. Screenings, Assessments & Interviews
Orvalon Digital may facilitate candidate screening and assessment through experts. Experts must conduct screenings fairly, professionally, and in accordance with the applicable screening criteria.
Employers may schedule interviews through the Platform. Interviews may be virtual or otherwise arranged physically. Orvalon Digital may provide scheduling, communication, reminders, and meeting functionality.
Evaluation Nature: Screening reports, skill badges, and Expert scorecards represent point-in-time assessments of technical capability. They do not guarantee future job performance.
Conduct During Sessions: All virtual interviews and screenings conducted via or outside Orvalon Digital integrated tools must adhere to professional standards. Harassment, intimidation, inappropriate questioning, or recording without consent is strictly prohibited.
No External Liability: Orvalon Digital is not liable for candidate or employer conduct during third-party video calls, off-platform interviews, or unmonitored communications.
11. Messaging and Communication
Users may communicate through Orvalon Digital's messaging functionality. Users must not use messaging to:
- Harass another user
- Threaten another user
- Send fraudulent communications
- Send spam
- Distribute malicious software
- Solicit sensitive information unlawfully
- Engage in discriminatory behaviour
- Conduct illegal transactions
- Send content that violates these Terms.
Orvalon Digital may investigate reports of abuse and take appropriate action.
12. Community
Orvalon Digital may provide community features that allow users to publish posts, comments, discussions, reviews, or other content. Users are responsible for content they submit.
You must not publish content that is:
- Illegal
- Defamatory
- Harassing
- Threatening
- Discriminatory
- Fraudulent
- Infringing of intellectual property rights
- Sexually explicit where prohibited
- Malicious
- Misleading
- Spam
- Or otherwise harmful to the Platform or its users.
Orvalon Digital may remove content that violates these Terms.
13. User-Generated Content
By submitting content to Orvalon Digital, you grant Orvalon Digital a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, and process that content as reasonably necessary to operate and improve the Platform.
You retain ownership of your original content.
You represent that you have the rights necessary to submit the content and grant the licence described above.
Orvalon Digital will not use private user information for unrelated purposes except as permitted by applicable law and our Privacy Policy.
14. Courses and Learning Content
Orvalon Digital may provide courses, assessments, learning materials, certifications, badges, or other educational content. Completion of a course or assessment does not guarantee employment.
Where badges, certificates, or other credentials are provided, Orvalon Digital may establish eligibility and verification requirements.
Users must not falsify course completion, assessment results, certificates, or credentials.
15. Payments, Fees & Wallet Services
Financial Infrastructure: Certain Orvalon Digital services may involve payments, wallet balances, withdrawals, fees, commissions, or other financial transactions.
Wallet Balances & Withdrawals:
- Withdrawals are subject to identity verification (KYC), fraud detection checks, and processing timelines set by banking and payment partners.
- Orvalon Digital is not liable for payout delays resulting from incorrect bank details submitted by the user, or regulatory holds.
Fees & Modifications: Fees for platform features are clearly disclosed prior to purchase. Orvalon Digital reserves the right to modify fee structures with reasonable advance notice.
Refund Policy: Purchases, subscription fees, and screening allocations are non-refundable once the underlying service or evaluation has commenced or been completed, except where required by law.

This Section constitutes a legally binding disclosure pursuant to the Nigeria Data Protection Act (NDPA) 2023 and the General Application and Implementation Directive (GAID).

- Professional & Talent Data: Resume, work history, educational qualifications, portfolio repositories, technical code submissions, assessment scores, Expert scorecard reviews, and video screening recordings.
- Employer & Corporate Data: Company registration details, tax identification numbers, corporate domain emails, billing addresses, and job posting specifications.
- Financial & Wallet Data: Payment gateway tokens, bank account details for payouts, wallet balances, transaction histories, and billing receipts.
- Telemetry, Device & Technical Data: IP addresses, browser types, operating systems, session timestamps, device identifiers, app usage metrics, and cookie data.
16.3 Legal Bases for Data Processing
Under Section 25 of the NDPA 2023, every data processing activity on Orvalon Digital is grounded in a specific lawful basis:

16.4 Cross-Border Data Transfers & Cloud Infrastructure
To ensure platform availability, latency management, and secure backup, Orvalon Digital utilizes global cloud infrastructure. Personal data collected in Nigeria may be hosted or processed on secure servers located outside Nigeria.
All cross-border data transfers are executed in strict compliance with Part VI of the NDPA 2023 and GAID rules, utilizing approved safeguards including Standard Contractual Clauses (SCCs), Binding Corporate Rules (BCRs), or transfers to jurisdictions with recognized adequacy decisions.
16.5 Third-Party Integrations & Sub-Processors
Orvalon securely shares specific data sub-sets with trusted third-party service providers:
- Payment Processors: Paystack (for handling subscriptions, wallet funding, and payouts).
All sub-processors are contractually bound under Data Processing Agreements (DPAs) to process data strictly under Orvalon Digital's instructions and maintain equivalent security standards.
16.6 Data Retention Schedules and Deletion Protocol
Orvalon Digital does not store personal data indefinitely:
- Active Accounts: Data is retained for as long as your account remains active.
- Account Deletion: Upon receiving a verified account deletion request, Orvalon Digital will permanently scrub or anonymize personal data within 30 days, except where legal retention obligations (e.g., financial audit laws requiring transaction log storage for up to 6 years) apply.
- Inactive Accounts: Accounts remaining completely inactive for 24 consecutive months will be flagged for automated archival, followed by deletion after notification.
16.7 Automated Decision-Making, AI Models & Section 37 Rights
Algorithmic Features: Orvalon Digital uses automated algorithms and artificial intelligence models to extract skills from resumes, generate candidate match recommendations for job posts, and assist Experts in scorecard structuring.
Human-in-the-Loop Safeguard: Orvalon Digital does not perform solely automated hiring, termination, or screening rejection decisions that carry legal or significant effects. All final tier advancements, Expert evaluations, and employer shortlists involve human intervention.
Right to Challenge: Pursuant to Section 37 of the NDPA 2023, users have the right to request human review of any automated recommendation or match score by contacting Orvalon.
16.8 Plain-Language Data Subject Rights
Under the NDPA 2023, you possess enforceable rights regarding your personal data:
- Right to Access & Portability: You can request a digital copy of all personal data held about you in a structured, machine-readable format.
- Right to Rectification: You can request instant correction of inaccurate profile or identity details.
- Right to Erasure ("Right to be Forgotten"): You can request full deletion of your personal data when processing is no longer required.
- Right to Restrict or Object: You can object to automated profiling, marketing communications, or specific processing streams.
- Right to Withdraw Consent: Where processing is based on consent, you may withdraw it at any time without affecting prior lawful processing.
- Right to Lodge a Complaint: If you believe your data privacy rights have been infringed, you have the statutory right to escalate your grievance directly to the regulator (Nigeria Data Protection Commission — NDPC).
17. Prohibited Activities & Code of Conduct
You expressly agree not to engage in any of the following prohibited behaviors on Orvalon Digital:
System Interference: Scrape, crawl, data-mine, reverse-engineer, or decompile any portion of the Platform without written consent.
Fraud & Misrepresentation: Submit fake work experience, forged degrees, manipulated portfolio samples, or fraudulent company credentials.
Screening Manipulation: Engage in proxy test-taking, use unauthorized AI assistance during live proctored coding assessments, or collude with Experts to inflate scores.
Harassment & Misconduct: Threaten, stalk, harass, abuse, or send unsolicited commercial spam to candidates, employers, or experts.
Fee Circumvention: Off-board candidates met on Orvalon Digital specifically to evade platform fees or contractual screening obligations.
18. Intellectual Property Rights
Orvalon Digital IP: All trademarks, logos, system software, user interface designs, scoring rubrics, database architectures, and content created by Orvalon Digital belong exclusively to Orvalon Digital.
User Content License: You retain legal ownership of original portfolio items, resumes, and code samples you upload. However, by submitting content, you grant Orvalon Digital a worldwide, royalty-free, non-exclusive license to host, parse, display, and process the content solely for operating, improving, and promoting platform workflows.
19. Platform Availability & Disclaimers
Availability SLA: While Orvalon Digital targets high platform availability, we do not guarantee uninterrupted, error-free, or virus-free operation. Scheduled maintenance or unexpected server outages may occur.
Warranty Disclaimer: To the maximum extent permitted by law, Orvalon Digital is provided "as is" and "as available" without warranties of any kind, express or implied, including fitness for a particular purpose, merchantability, or non-infringement.
20. Employer-Talent Relationship
Orvalon Digital does not become a party to an employment agreement between an Employer and Talent solely because the parties met or communicated through the Platform.
Employers are responsible for their hiring decisions and obligations. Talents are responsible for evaluating employment opportunities and agreements offered to them.
Users should obtain independent professional advice where appropriate.
21. Limitation of Liability
To the fullest extent permitted under applicable law (including Nigerian law), Orvalon Digital, its officers, directors, employees, or agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages. This includes loss of profits, data loss, reputational damage, work stoppage, or failed employment opportunities arising from your use of or inability to use the Platform.
22. Indemnification
You agree to defend, indemnify, and hold harmless Orvalon Digital, its parent company, directors, employees, and partners from and against any third-party claims, liabilities, losses, damages, or costs (including legal fees) arising from:
- Your breach of these Terms or applicable privacy laws.
- False or fraudulent information submitted by you.
- Your violation of any third-party intellectual property or privacy right.
- Misconduct during live screening or interview sessions.
23. Suspension, Termination & Survival
Termination by User: You may close your account at any time via platform settings.
Termination by Orvalon: Orvalon Digital may suspend or terminate your account immediately without prior notice if you breach these Terms, commit fraud, fail screening SLAs, or pose a security risk.
Survival: Provisions relating to Intellectual Property, Data Protection, Limitation of Liability, Indemnification, and Dispute Resolution shall survive account termination.
24. Governing Law & Dispute Resolution
Governing Law: These Terms and any non-contractual obligations arising out of them are governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
Informal Resolution: Before initiating formal legal proceedings, parties agree to attempt to resolve disputes through good-faith negotiation for at least 30 business days.
Arbitration / Mediation: If unresolved informally, disputes shall be submitted to binding arbitration or mediation under Nigerian law. Nothing prevents either party from seeking urgent injunctive relief from a competent court.
25. Amendments & Contact
Updates: Orvalon Digital may revise these Terms from time to time. Material updates will be communicated via platform banners or registered emails at least 14 days before taking effect. Continued platform use constitutes acceptance of revised terms.
